1. Accepting these terms
These terms apply when you use dlacks.com or order a transfer from Dlacks, LLC ("Dlacks", "we", "us"). By creating an account, accepting an invitation, placing an order or using the site, you agree to them and to our Privacy Policy. If you don't agree, please don't use the service.
2. Accounts
- You must be at least 13 to have an account. If you're under 18, a parent or guardian must agree to these terms for you.
- Give accurate information and keep your password private. You're responsible for what happens under your account; tell us right away if you think someone else has used it.
- Guest access from an invitation is temporary and ends when the invitation expires, unless you register.
- Staff accounts must use two-step sign-in. We encourage everyone who owns events to use it too.
3. The transfer service and orders
- Placing an order is a request. We confirm details, pickup and any questions with you before work begins.
- The total on the order page is an estimate based on the quantities you chose. After we inspect and transfer your media we set the final charge.
- We aim for the best quality your originals allow. The result depends on their condition, format and age; we can't make a copy better than its source.
- Delivery is through the site (and any other format we agree on). Turnaround times we give are estimates, not guarantees.
- Your online library is included for at least one year after your order is ready. After that, a small monthly or yearly fee may apply to keep it online. We'll tell you well ahead of any change, so you can download your files or choose a plan first. This may change over time.
Text message updates
- If you agree to texts when you order or on My account, we send texts about your order (pickup, progress, payment link) to the number you gave. They aren't marketing.
- Message frequency varies. Message and data rates may apply. Carriers aren't liable for delayed or undelivered messages.
- Reply STOP at any time to stop; we confirm once and send nothing more. Reply START to begin again, or HELP for help, or contact us.
- Agreeing to texts isn't a condition of ordering. See the Privacy Policy for how we handle your number.
4. Your physical media
- We handle your tapes, film, photos and slides with care and return them when your order is complete.
- Old media can be damaged, mouldy, brittle or already failing. Playing or scanning it can occasionally cause further damage, and some media can't be recovered at all. We'll tell you about problems we find. Where repair is possible we'll ask before doing it.
- We're not responsible for damage caused by a pre-existing condition, or for content that was already lost or unreadable.
- If we lose or damage your media through our own fault, our responsibility is limited as described in section 12. Your originals are irreplaceable to you, so keep a list of what you send and, where possible, a copy of anything precious.
- Media not collected or deliverable within 90 days of completion, after reasonable attempts to reach you, may be disposed of.
Mail-in kits (when we offer them)
- If you choose a mail-in kit, we mail you a box to pack your media in and send back. Pack it as the kit's instructions say; we're not responsible for damage caused by packing that doesn't follow them.
- Your media is in the carrier's hands while it travels each way. We use tracked shipping and give you the tracking numbers. Our responsibility starts when your package arrives with us and ends when the carrier accepts it on the way back. If a carrier loses or damages a package, we'll help you make a claim, and any insurance we bought for it is passed to you.
- Any kit or postage fee is shown when you order and added to your final charge.
- If you don't send the kit back, the order is cancelled. We may charge the kit and postage fee.
5. Prices and payment
- Prices are listed on the Pricing & Order page and may change, but the price you were quoted applies to your order.
- You pay after the transfer, and only for media we were able to transfer. We send a secure payment link once the final charge is set.
- Payments are processed by Square. Monthly add-ons, if you choose any, are billed as described when you order them.
- If you're unhappy with the quality of a transfer, tell us within 30 days of delivery and we'll make it right or refund that item.
- We may keep the digital copies private, and delay returning originals, until an order is paid.
6. Rights to what you send us
- Send us only media you own or have the right to copy. We don't copy commercial, copy-protected or copyrighted material such as purchased films or TV recordings, and may decline any item.
- You confirm that what you send is legal to possess. We'll refuse, and may report as the law requires, any illegal material, including any sexual material involving minors.
7. Your content on the site
- You keep ownership of your videos, photos, comments and anything else you add ("your content").
- You give us a limited permission to store, copy, convert, display and share your content only as needed to provide the service to you and the people you share with. For example: to transfer it, create thumbnails and clips, show it to people you invite, and back it up. This permission ends when your content is deleted, apart from backup copies kept for a short time.
- When you contribute to someone else's event, its owner can see, approve, hide or remove your contribution, and people who can see that event can see it.
- We may remove content that breaks these terms or the law.
8. Sharing, invitations and the people in your media
- The owner of an event controls who can see it. Share only with people you trust, and only send invitations to people who would want them.
- Family media often shows other people, including children. Respect their wishes: if someone asks to be untagged or not shown, please honour it. They can also ask us directly.
- When you tag a face or invite someone, you confirm you have a good reason to do so and that it isn't unwanted contact.
- Downloading or re-posting other people's events or contributions outside the site requires their permission.
- @mentions email the person you mention. Use them for conversation, not to bother or pressure anyone.
Party Pools
- Hosts: a Party Pool lets anyone holding its card or link watch the events you put on it while it's open, without signing in. Put on it only content you're happy for everyone at that gathering to see, and only content you own or may share. Owners of events you add can take them off.
- If you let guests add photos, you're responsible for the ones you keep: look at them, and remove any that someone shown asks you to remove. Photos you don't copy into an event are deleted 60 days after the party.
- Guests: by adding a photo you confirm you took it, that the people in it wouldn't mind it being shared with the host's family, and that it follows the acceptable use rules below. You let the host keep it, show it on the party page and TV, and add it to their events, credited to the name you gave. You can ask the host, or us, to remove it.
Our team
- People who help us run the business (for example Customer Service or a bookkeeper) see only what their role needs and must keep it confidential. They act for Dlacks; anything they agree with you about an order binds us as if we had.
9. Acceptable use
Don't use the site to:
- post anything illegal, hateful, harassing, threatening, sexually explicit or that invades someone's privacy;
- upload content you don't have the right to share;
- try to see events you haven't been invited to, get around access limits, or use someone else's account;
- send spam, bulk invitations or malware, or scrape, overload or attack the site;
- impersonate anyone or misrepresent your connection to anyone.
We may warn, suspend or close accounts that break these rules.
10. Copyright complaints
If you believe something on the site infringes your copyright, send us a notice through the contact form with: your contact details, the work you own, where the material is on the site, a statement that you believe in good faith the use isn't authorised, and a statement, under penalty of perjury, that your notice is accurate and you're the owner or authorised to act for them. We'll remove infringing material and may close the accounts of repeat infringers.
11. Disclaimers
We work hard to keep the site available and your media safe, but the site is provided "as is" and "as available". To the extent the law allows, we make no other promises, including that the site will always be available or error-free. Keep your own copies of anything important: we're a sharing and transfer service, not your only backup. Nothing in these terms limits rights you have under consumer-protection law that can't be waived.
12. Limitation of liability
To the extent the law allows:
- We're not liable for indirect, incidental, special or consequential losses, or for loss of sentimental value.
- Our total liability for any claim about an order, including loss of or damage to your media, is limited to the amount you paid for that order (or $100 if greater). For other claims about the site it's limited to the amount you paid us in the 12 months before the claim (or $100 if greater).
- These limits don't apply to loss caused by our fraud, gross negligence or wilful misconduct, or where the law doesn't allow them.
13. Ending your account
- You can close your account at any time by asking us through the contact form. Open orders must still be completed or cancelled and paid for work already done.
- We may suspend or close an account that breaks these terms, puts others at risk, or has been inactive for a long time (after notice where we can give it).
- Before we close an account for reasons other than a serious breach, we'll give you a reasonable chance to download your content. Sections 4–7 and 11–14 continue after an account closes.
14. Disputes and governing law
Please contact us first. Most problems can be solved quickly. These terms are governed by the laws of the State of Maryland, USA, without regard to its conflict-of-laws rules. Any dispute will be decided by the state or federal courts located in Maryland, and you and we agree to their jurisdiction. You may also bring a claim in small-claims court where you live if it qualifies.
15. Changes and contact
We may update these terms as the service changes. We'll change the date at the top, and for important changes we'll tell members before they take effect. If you keep using the service after that, the new terms apply. If any part of these terms can't be enforced, the rest still applies. These terms and our Privacy Policy are the whole agreement between us about the service.
